Please read these terms carefully before using Tenon10
Introduction
Welcome to Tenon10. These Terms of Service ("Terms") govern your access to and use of the Tenon10 platform, including our website, mobile applications, and related services (collectively, the "Platform").
By accessing or using Tenon10, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.
Eligibility
To use Tenon10, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Be a resident of Canada (or authorized to conduct business in Canada)
- Not be prohibited from using the Platform under applicable law
By using the Platform, you represent and warrant that you meet all eligibility requirements.
Platform Role and Disclaimers
Tenon10 is a technology platform that connects landlords, tenants, and vendors. We are not:
- A landlord or property manager
- A real estate agent or broker
- A party to any lease agreement
- A financial institution or money transmitter
- An employer of vendors or service providers
We do not own, manage, or control any properties listed on the Platform. Users are responsible for their own interactions and agreements.
Fees and Payments
Platform Fees
Tenon10 charges convenience fees for payment processing. Fees vary based on:
- Payment method: Credit card, debit card, bank transfer, e-transfer, or cash
- Card type: Credit vs. debit and card network (Visa, Mastercard, Amex)
- Account tier: Different rates may apply to different subscription levels
- Promotions: Applicable discounts or promotional pricing
Current fees are displayed in your account settings and at checkout before you confirm any payment.
Payment Processing
Payments are processed by our third-party payment partners, including Stripe. By making payments through Tenon10, you also agree to the terms of our payment processors.
Refunds
- Convenience fees are non-refundable once a payment is processed
- Billing errors will be refunded within 30 days of report
- Refund disputes between landlords and tenants are between those parties
User Responsibilities
Account Security
- Maintain confidentiality of your login credentials
- Notify us immediately of unauthorized access
- You are responsible for all activity under your account
Accurate Information
- Provide accurate, current, and complete information
- Update your information as needed
- Do not impersonate others or misrepresent your identity
Acceptable Use
You agree to comply with our Acceptable Use Policy. Prohibited activities include:
- Fraud, misrepresentation, or deceptive practices
- Discrimination in violation of human rights laws
- Harassment, threats, or abusive behavior
- Violation of others' intellectual property rights
- Interference with Platform security or operation
Electronic Signatures and Digital Documents
Consent to Electronic Signatures
By creating an account and using our digital forms and signature features, you:
- Consent to conduct transactions electronically
- Agree that electronic signatures have the same legal effect as handwritten signatures under Ontario's Electronic Commerce Act, 2000
- Authorize us to store your digital signature for reuse on future documents
- Acknowledge that signed documents create legally binding obligations
Signature Storage
- Authenticated Users: Your digital signatures, signing history, and audit trails are stored securely for 7 years. You can manage or delete your stored signatures in account settings
- Anonymous Users: Signatures are embedded only in the generated PDF and are not stored in our systems. The PDF serves as the sole record of the signature
Document Integrity
All signed documents include a cryptographic hash (SHA-256) that verifies the document has not been altered after signing. This provides evidence of document authenticity in legal proceedings.
Your Responsibilities
- Ensure you have authority to sign documents on behalf of any entity you represent
- Verify document contents before signing
- Maintain secure access to your account to prevent unauthorized signatures
- Retain copies of signed documents for your records
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Tenon10 shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) $100 CAD
- We are not liable for actions or omissions of other users, landlords, tenants, or vendors
Dispute Resolution
Between Users
Disputes between landlords and tenants, or between users and vendors, are between those parties. We may assist with documentation but are not obligated to resolve disputes.
With Tenon10
Disputes with Tenon10 will be resolved as follows:
- Informal Resolution: Contact us first at support@tenon10.com
- Mediation: Non-binding mediation in Toronto, Ontario
- Binding Arbitration: Under the ADR Institute of Canada rules
Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be brought in the courts of Ontario.
Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email and/or prominent notice on the Platform at least 30 days before taking effect. Continued use after changes constitutes acceptance.
